Davide Campari - Milano: IPO scheduled for June 27Th
Milan, 22 June 2001 - Italian beverage Group Davide Campari-Milano S.p.A. is the leader in the domestic market(1) and the world's ninth largest player(2) in the spirits sector and also produces and distributes a number of leading brands in the wine and soft drinks segments.
Today of the group presented details of its forthcoming IPO, scheduled for in June 27th – July 2nd.
The Prospectus for the retail offering was registered with the Italian regulatory body
CONSOB with provision No. 1049199 on June 20th 2001.
The global offering will consist of a total of 12,705,000 ordinary shares at a face value of one Euro each, representing 43.75% of the company's share capital.
A minimum of 3,200,000 shares will be offered to the public, equivalent to 25.19% of the total offering. At the same time a private placement of a maximum of 9,505,000 shares will be made with professional and institutional investors in Italy and abroad, including including Rule144A placement into the US.
The offering price of the shares will be between 30 and 38 euros.
After the IPO, and assuming the entire exercise of the over-allotment option of additional 1,524,600 ordinary shares, 49% of the company's share capital will have been placed on the market.
Deutsche Bank and UBS Warburg will be joint global co-ordinators for the global offering and will also act as joint lead managers and bookrunners for the private placement;
IntesaBCI will be sponsor and lead manager for the retail offering.
Approval of the application for admission to listing of the ordinary shares of Davide Campari-Milano S.p.A was granted by the Italian Exchange on the 13th of June 2001.
